1. Acceptance of Terms

By accessing the website noviklab.com or engaging in research, software engineering, and AI solution collaborations with NOVIKLAB, you agree to be bound by these Terms of Service and all applicable laws and regulations.

2. Scope of Services & Lab Operations

NOVIKLAB operates as an Innovation & Technology Lab delivering:

• Applied artificial intelligence research and autonomous agent development.
• Enterprise software architecture, full-stack systems, and scalable cloud solutions.
• Digital product design, rapid MVP prototyping, and SaaS platforms.
• Technology feasibility analysis and engineering consultation.

Specific project deliverables, milestones, budgets, and service levels are defined in formal Master Services Agreements (MSA) or Statements of Work (SOW) executed between the parties.

3. Intellectual Property Rights & Ownership

• Client Deliverables: Unless explicitly agreed otherwise in a Statement of Work, all custom software, business logic, and deliverables developed specifically for a client become the client's exclusive property upon full payment.
• Lab Proprietary Assets: Pre-existing frameworks, reusable modules, internal lab experiments, and the NOVIKLAB brand assets (including name, wordmarks, and logos) remain the exclusive property of NOVIKLAB.

4. Responsible AI & Technology Safety

NOVIKLAB adheres to rigorous ethical engineering practices:

• We do not design or engineer software intended for malicious exploits, unauthorized surveillance, or deceptive activities.
• All autonomous agent systems and AI pipelines are designed with deterministic failure fallbacks, safety guardrails, and audit trails.

5. Limitation of Liability & Disclaimers

Website content, articles, architectural blueprints, and experimental lab demos are provided on an "as is" and "as available" basis for informational and explorative purposes. NOVIKLAB disclaims all warranties, express or implied, including fitness for a particular purpose.

6. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with applicable corporate and digital commerce regulations. Any disputes arising out of or related to these terms shall first be addressed through good-faith amicable negotiation.
